1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of nexorlio.com (the “Site”), which is operated by Nexorlio (“Nexorlio,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

If you use the Site on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it.

2. Purpose of the Site

The Site provides general information about Nexorlio, our services, our work, and open roles, and it lets you contact us or apply for a position. The Site's content is for general information only. It is not professional, technical, legal, or financial advice.

3. No offer or client relationship

Descriptions of our services, capabilities, processes, and example projects on the Site are not an offer, quote, or guarantee of any particular result. Budget ranges shown in our forms are for scoping only and are not pricing commitments.

Sending an inquiry does not make you our client. It also does not create any obligation for either party. Every client engagement is governed by a separate written agreement signed by both parties. If that agreement conflicts with these Terms, the agreement controls.

4. Information you submit

When you submit information through the Site, you agree that it is accurate and that you have the right to share it. We handle personal information as described in our Privacy Policy.

Please do not send confidential or proprietary information through our contact form. If a conversation needs a confidentiality agreement, we will put one in place before you share sensitive details. Unless we have a written confidentiality agreement, we are not obligated to keep an inquiry confidential, and we may independently develop ideas, products, or services that are similar to ones you describe.

5. Careers and applications

Job postings on the Site are invitations to apply. They are not offers of employment or engagement. We may change, fill, or withdraw any role at any time without notice. Applying does not create an employment, contractor, or other relationship. Any offer will be made in writing, and any engagement will be governed by its own agreement. We consider applicants without regard to any characteristic protected by applicable law.

6. Acceptable use

You agree not to:

• Use the Site in a way that breaks any law or regulation
• Submit information that is false or misleading, or that impersonates any person or organization
• Send spam, unsolicited advertising, or automated or bulk submissions through our forms
• Upload or link to malware, or try to probe, scan, or test the Site for vulnerabilities without our written permission
• Interfere with, disrupt, or overload the Site or the systems that run it
• Try to gain unauthorized access to any part of the Site or its systems
• Scrape, copy, or reuse the Site's content in bulk, including to train machine-learning models, without our written permission

We may limit, suspend, or block access to the Site for anyone who breaks these Terms.

7. Intellectual property

The Site and its content belong to Nexorlio or our licensors and are protected by intellectual property laws. This includes text, graphics, images, photography, design, code, and the Nexorlio name, monogram, and wordmark.

You may view the Site and print or save individual pages for your own personal or internal business use. You may not copy, modify, distribute, sell, or create derivative works from the Site's content, or use our name or brand, without our written permission. All rights not expressly granted are reserved.

Client names, trademarks, and project details shown on the Site belong to their respective owners. Some case studies may be simplified or anonymized to protect client confidentiality.

8. Third-party links

The Site may link to websites or services run by others, such as LinkedIn. We do not control these websites or services and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of warranties

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Nexorlio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that its content is accurate, complete, or current.

10. Limitation of liability

To the fullest extent permitted by law, Nexorlio and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain warranty exclusions or liability limits. In those places, the limits above apply only to the extent the law permits.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nexorlio and its owners, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Clark County, Nevada. You and Nexorlio both consent to the jurisdiction of those courts.

13. Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. If you keep using the Site after changes are posted, you accept the updated Terms.

14. General

These Terms and our Privacy Policy are the entire agreement between you and Nexorlio about your use of the Site. If a court finds any provision unenforceable, the rest of these Terms stay in effect. If we fail to enforce any provision, that does not waive our right to enforce it later. You may not transfer your rights under these Terms without our consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
